KreweHQ Terms of Service

These Terms of Service ("Terms") govern your use of the KreweHQ platform ("Service"). By accessing or using KreweHQ, you agree to these Terms.

1. Acceptance of Terms

By using KreweHQ, you confirm that:

• You are at least 18 years old, or have authority to act on behalf of an organization
• You agree to comply with these Terms

If you do not agree, do not use the Service.

2. Description of Service

KreweHQ provides software tools for:

• Tournament and event management (TournamentHQ)
• League and season management (LeagueHQ)
• Club and team organization (ClubHQ)
• Scheduling, standings, and related features

KreweHQ may evolve or change features at any time.

3. Accounts and Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account
• All activity that occurs under your account
• Providing accurate and current information

KreweHQ is not responsible for errors caused by incorrect data entered by users or organizations.

4. Acceptable Use

You agree not to:

• Use the Service for unlawful purposes
• Attempt to gain unauthorized access
• Disrupt or interfere with system functionality
• Upload malicious code or harmful content
• Misrepresent affiliations or authority

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Tournament & Competition Disclaimer

KreweHQ:

• Is a management and information platform only
• Does not guarantee accuracy of schedules, standings, or results
• Is not the official record unless explicitly designated by the tournament organizer

Final authority for tournament decisions rests with event organizers.

6. Payments & Subscriptions (If Applicable)

• Fees, if any, are disclosed at time of purchase
• Subscriptions renew unless canceled
• Payments are non-refundable unless required by law
• Third-party payment processors may apply their own terms

7. Intellectual Property

All KreweHQ software, branding, logos, and content are owned by KreweHQ or its licensors.

You may not copy, modify, or distribute any part of the Service without written permission.

8. Data Ownership

• You retain ownership of your content
• You grant KreweHQ a limited license to use data solely to operate the Service
• We may use aggregated, anonymized data for analytics and improvement

9. Termination

We may suspend or terminate access:

• For violations of these Terms
• For security or legal reasons
• At our sole discretion, with or without notice

10. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE."

KreweHQ makes no warranties regarding:

• Accuracy of data
• Availability or uptime
• Fitness for a particular purpose

Use is at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law, KreweHQ shall not be liable for:

• Indirect or consequential damages
• Loss of data, revenue, or profits
• Tournament disputes or outcomes

Total liability shall not exceed the amount paid to KreweHQ in the prior 12 months.

12. Indemnification

You agree to indemnify and hold harmless KreweHQ from claims arising from:

• Your use of the Service
• Your violation of these Terms
• Content or data you provide

13. Governing Law

These Terms are governed by the laws of the United States and the State in which KreweHQ is registered, without regard to conflict-of-law principles.

14. Changes to Terms

We may update these Terms at any time. Continued use constitutes acceptance.

16. SMS Notifications

By opting into SMS notifications, you consent to receive transactional and operational messages related to your participation in leagues, tournaments, or clubs managed through KreweHQ. Message frequency varies. Message and data rates may apply. Consent is not a condition of purchase. You may withdraw consent at any time by replying STOP. For assistance, reply HELP or contact support@krewehq.com.

KreweHQ Enterprise Tenant Addendum

This Enterprise Tenant Addendum ("Addendum") supplements the KreweHQ Terms of Service and applies only to organizations subscribing to an Enterprise plan ("Enterprise Tenant").

If there is a conflict between this Addendum and the Terms of Service, this Addendum controls for Enterprise Tenants only.

1. Enterprise Tenant Definition

An Enterprise Tenant is an organization that:

• Subscribes to a KreweHQ Enterprise plan
• May operate under a custom domain
• May connect its own third-party services (e.g., email delivery, payment processors)
• May manage multiple administrators, events, and users

2. Tenant Data Ownership & Control

• Enterprise Tenants own their tenant-specific data, including team data, rosters, schedules, and internal configurations.
• KreweHQ acts as a data processor, not the data owner, for Enterprise Tenant data.
• KreweHQ may access Enterprise Tenant data only as necessary to:
  • Provide and support the Service
  • Resolve technical issues
  • Comply with legal obligations

3. Tenant Responsibilities

Enterprise Tenants are solely responsible for:

• Administrator permissions and access control
• Accuracy of tournament data and official records
• Compliance with applicable laws (privacy, payments, eligibility rules, etc.)
• Communications sent to users via the platform

KreweHQ is not responsible for:

• Internal tenant disputes
• Eligibility decisions
• Rule enforcement
• Misconfigured permissions or administrator actions

4. Custom Domains & Branding

If custom domains or branding are enabled:

• Enterprise Tenants grant KreweHQ permission to display tenant branding solely within their environment
• KreweHQ is not liable for DNS misconfiguration, domain outages, or third-party hosting issues
• KreweHQ may suspend custom domain access if it poses a security risk

5. Third-Party Integrations (Enterprise)

Enterprise Tenants may connect:

• Email services (e.g., SendGrid, Resend)
• Payment processors (e.g., Stripe via Stripe Connect)
• Registration or video platforms

KreweHQ:

• Does not control third-party services
• Is not responsible for outages, data loss, or fees imposed by those providers
• Acts only as a technical intermediary where applicable

6. Data Export & Termination

Upon termination of an Enterprise subscription:

• Enterprise Tenants may request a reasonable data export
• KreweHQ may delete tenant data after a reasonable retention period
• Certain metadata and logs may be retained for legal, security, or auditing purposes

7. Service Levels & Availability

Unless a separate written Service Level Agreement (SLA) exists:

• Enterprise access does not guarantee uptime, response times, or availability
• Maintenance windows may occur without prior notice

8. Indemnification (Enterprise)

Enterprise Tenants agree to indemnify and hold harmless KreweHQ from claims arising out of:

• Tournament operations
• Eligibility disputes
• Payment disputes
• Data provided by the tenant or its users

9. Limitation of Liability (Enterprise)

To the fullest extent permitted by law:

• KreweHQ's total liability remains capped as defined in the Terms of Service
• Enterprise pricing does not increase liability unless explicitly agreed in writing

10. No Employment or Partnership

Nothing in this Addendum creates:

• A partnership
• A joint venture
• An employment relationship

Enterprise Tenants operate independently.
